Solo Exhibition Terms and Conditions For Artists

  1. PARTICIPATION FEE AND EVENT PROMOTION:

1.1 The Artist acknowledges that the participation fee is non-refundable if the Artist decides not to participate in the exhibition;

1.2 The Gallery agrees to promote the event on its social media pages and newsletter;

1.3 The Gallery agrees to organize a vernissage with a maximum duration of three hours, which will include the provision of drinks and the services of a professional photographer;

1.4 The participation fee shall be mutually agreed upon between the artist and the gallery;

1.5 The artist agrees to deposit 50% of the participation fee to secure the spot. The remaining balance must be paid no later than 30 days before the first day of the exhibition;

 

  1. AGENCY; PURPOSES:

2.1 The Artist appoints the Gallery as the agent for the Artworks consigned under this Agreement for the purposes of exhibition and sale.

 

  1. ACCEPTANCE OF ARTWORKS:
3.1 Works of art may be accepted for consignment only by persons designated by the Gallery in writing as authorized to accept works of art.
3.2 The Gallery may reject artworks at the Owner's discretion.

 

  1. ARTIST'S WARRANTIES:

4.1 The Artist warrants that they possess unencumbered title to the Artworks and that their descriptions are true and accurate.

4.2 The Artist guarantees the originality of the artworks and ownership of all related copyrights.

 

  1. DIGITAL ASSET RESPONSIBILITY:

5.1 The Artist is liable for delivering digital files according to the gallery’s requirements at the time of completing this form. Files delivered later will not be used.

 

  1. AGE AND AUTHORIZATION:
6.1 By agreeing to this Agreement, the Artist warrants they are eighteen (18) years of age or older and authorized to enter a legally binding contract.

 

  1. DETAILS FROM TYPEFORM APPLICATION:
7.1 Details of the artworks will be copied from the Typeform application and will not be altered.

 

  1. SALES AND PRICING:
8.1 The Gallery agrees to list each of the Artist's artworks on its online marketplace/website for indefinite period from the start date of the exhibition.
8.2 After the exhibition period, the Gallery reserves the right, in conjunction with the Artist, to sell the mentioned artworks.
8.3 Pricing for the artworks will be jointly determined by the Gallery and the Artist, respecting the Artist's stipulated value.
8.4 All sales intermediated by the Gallery will be subject to a 30% commission on the final sale price, with VAT included.
8.5 The Gallery may offer discounts and promotions, provided they are previously agreed upon with the Artist.
8.6 If the Artist makes a direct sale during the physical exhibition, the Artist must include VAT in the sale price, with a 30% commission for the Gallery.
8.7 If the Artist cannot issue an invoice, the commission will increase to 40%.
8.8 The Gallery may add shipping that will be costs to the sales price, as previously agreed.
8.9 The artist must inform the gallery within 5 working days if they sell the artwork themselves.

 

  1. GALLERY'S OBLIGATIONS:
9.1 Promote and advertise the Artist's artworks efficiently and professionally.
9.2 Make payments to the Artist within 30 days, based on sales made and after deducting due commissions.

 

  1. CONTRACT MODIFICATION:

10.1 This agreement may not be changed, modified, or altered except under full agreement between the Gallery and the Artist.

 

  1. EXHIBITION LIMITATIONS:
11.1 Regarding physical exhibitions, the Artist agrees to provide only one artwork per exhibition, meeting specified dimensions.
11.2 For virtual exhibitions, the Artist must provide high-quality photographs and detailed information for display.

 

  1. INTEGRITY COMMITMENT OF THE EXHIBITION:

12.1 The Artist acknowledges that once an artwork is selected for exhibition, it cannot be withdrawn before the official conclusion, except under exceptional circumstances with prior agreement.

 

  1. DELIVERY AND PICKUP RESPONSIBILITY:
13.1 The Artist assumes full responsibility and expenses for delivering selected artworks for physical exhibition to the location designated by the Gallery.
13.2 Artwork delivery must be made at least 10 days before the exhibition start date.
13.3 After the exhibition ends, the Artist agrees to retrieve their artworks within 10 days from the official exhibition end date.

 

  1. DELIVERY AND PICKUP CONDITIONS:

14.1 Artworks must be delivered and picked up in suitable packaging and conservation conditions, with any damages immediately reported to the Gallery.

 

  1. COPYRIGHTS AND INTELLECTUAL PROPERTY:
15.1 The Artist guarantees the originality of their artworks and the ownership of all related copyrights.
15.2 The Gallery will respect and protect the Artist's copyrights and is granted the right to use the Artist's image and artworks for promotional purposes.

 

  1. CONFIDENTIALITY:

16.1 The parties agree to keep confidential all information obtained as a result of this contract.

 

  1. GOVERNING LAW AND DISPUTES:

17.1 This contract is governed by Portuguese law, and any conflicts will be settled in the court of Viana do Castelo.

 

  1. FINAL PROVISIONS:

18.1 This Agreement represents the entire understanding between the parties and supersedes any prior agreements or understandings.
